Job Description:

  • Partner with Procurement, Legal, and internal stakeholders to ensure subcontract provisions are cohesive, business-appropriate, and aligned with company objectives
  • Interpret prime contract requirements and translate them into negotiated General Provisions, Terms & Conditions, and mandatory clause flow-downs for suppliers and lower-tier subcontractors
  • Lead supplier negotiations on General Provisions and Terms & Conditions
  • Draft customized contract language to address business needs, mitigate risk, and support compliant execution
  • Develop, maintain, and organize negotiated clause language in company systems
  • Provide buyers and procurement professionals with approved, practical, and consistent contractual tools
  • Review government contracts and subcontracts for compliance with applicable laws, regulations, and internal policies
  • Strengthen subcontract compliance processes, contractual integrity, audit readiness, traceability, and regulatory compliance across the procurement lifecycle

Requirements:

  • Bachelor’s Degree and minimum of 6 years of prior relevant subcontracts experience, or Graduate Degree and minimum of 4 years of prior related subcontracts experience
  • In lieu of a degree, minimum of 10 years of prior related subcontracts experience
  • 4 years of government contract experience
  • Deep expertise in General Provisions, Terms & Conditions, and regulatory clause compliance within the defense industry
  • Experience drafting, reviewing, negotiating, and revising contract and subcontract language
  • Knowledge of FAR, DFARS, mandatory flow-down requirements, and supplier agreement compliance
  • Ability to interpret prime contract requirements and validate clause applicability
  • Experience with government contracts and procurement principles contained in FAR/DFARS
  • Ability to research regulatory requirements of customer contracts
  • Advanced MS Word redlining skills
  • Excel, SharePoint/Teams, and experience tabulating and charting complex datasets
  • Strong documentation discipline, attention to detail, audit-readiness practices, and regulatory compliance knowledge
